1. Introduction

Welcome to YourDataRoom.app ("Service"), an AI-powered data room platform operated by YourDataRoom ("Company," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms").

2. Service Description

YourDataRoom.app provides a cloud-based platform that enables companies to create secure, AI-powered data rooms for sharing confidential documents with investors, acquirers, and other stakeholders. The Service includes document hosting, AI-powered question answering, user management, and analytics features.

3. Account Terms

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • One subscription provides one data room. Additional data rooms require additional subscriptions.
  • You are responsible for all activity that occurs under your account.
  • You must be at least 18 years old to use the Service.

4. Acceptable Use

You agree not to use the Service to:

  • Upload, store, or share any content that is illegal, harmful, or infringes on others' rights.
  • Attempt to gain unauthorized access to any part of the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service for any fraudulent or deceptive purpose.
  • Violate any applicable laws or regulations.

5. Payment Terms

  • Subscriptions are billed monthly via Stripe.
  • Payments are due at the beginning of each billing cycle.
  • All fees are non-refundable except as required by law.
  • You may cancel your subscription at any time. Access continues until the end of the current billing period.
  • We reserve the right to change our prices with 30 days' notice.

6. Fair Use

Some plans describe capacity as "uncapped." Uncapped means we do not meter your ordinary use of that capacity — it does not mean literally unlimited. To keep the Service reliable and economical for every customer, uncapped capacity is subject to the following fair-use ceilings per data room, which the Service enforces:

  • Up to 500 documents.
  • Up to 25 GB of storage.
  • Up to 2,000 AI questions per calendar month.

These ceilings are set well above what a typical transaction process requires. If your process has a legitimate need beyond them, contact us at hello@yourdataroom.app and we can raise them for your account. We may adjust fair-use ceilings with 30 days' notice; we will not reduce them below the capacity advertised for your plan at the time you subscribed.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to our data practices as described therein.

8. Intellectual Property

  • You retain all rights to the content you upload to the Service.
  • By uploading content, you grant us a limited license to store, process, and display that content as necessary to provide the Service.
  • The Service, including its design, features, and technology, is owned by us and protected by intellectual property laws.

9. AI-Generated Content

The AI-powered features of our Service generate responses based on documents you upload. While we strive for accuracy, AI-generated answers are provided for informational purposes only and should not be considered legal, financial, or professional advice. You are responsible for verifying the accuracy of any information before relying on it.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Termination

  • You may terminate your account at any time by contacting us.
  • We may suspend or terminate your access if you violate these Terms.
  • Upon termination, your data will be retained for 30 days before deletion.
  • You may request data export before termination.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered, without regard to conflict of law principles.
