A virtual data room you stand up in minutes: control what each counterparty sees at every stage, let the AI answer their questions from your documents, see who's serious, and close it out cleanly at the end. Built for fundraising and M&A processes.
Same room. Nothing to count, nothing to infer.
Everything you upload is read and tagged as it arrives, so the data room is organized before you've finished uploading. Seed the standard diligence folder structure in one click, add your branding, and hand out the link.
Upload PDF, Word, Excel, PowerPoint, text files, and images. Every text-extractable upload is analyzed and tagged automatically as it comes in.
Seed the standard diligence folder set — Financials, Legal, Team, Product, Market — in one click, then adjust it from there.
Logo, colors, app title, and welcome message replace ours. Most clients are live in under 10 minutes, at your branded link.
Every document carries a minimum phase, 1 to 3. Every investor carries a phase. Access is a comparison, checked on every request.
Documents above an investor's phase are absent from listings, folder contents, document counts, search, and the generated data room index. There is nothing in the UI hinting that anything else exists.
Fetch an above-phase document directly and the response is byte-identical to a document that doesn't exist. No error that confirms something is being withheld.
An above-phase document is filtered out before it reaches a response — including the AI's own context. The assistant cannot answer from a document an investor isn't cleared to see, because it never retrieves it.
GET /api/documents/does-not-exist → 404 {"error":"Document not found"} GET /api/documents/above-phase-doc → 404 {"error":"Document not found"}
Byte-identical responses.
Stage 2, continued
View-only PDFs are stamped server-side, on every page, before they're served — a diagonal mark across the page and a footer line, so even a cropped screenshot still carries the identity. DOM overlays and client-side print-blocking are cosmetic and trivially bypassed; this is stamped into the file itself.
The viewing investor's name is burned into the page, not attached as metadata.
Their email address is stamped alongside it, so the source is identifiable on sight.
A timestamp marks when the page was rendered for that investor.
Every process generates the same repetitive questions — normally they land on you, or your banker, at 11pm. Here investors ask the data room in plain language and the AI answers with citations from your documents, scoped to what their phase allows, any time of day.
This is a real data room for Bramfield Industrial Group, a fictional industrial manufacturer. You're browsing as a phase 1 investor, and answers below come from the same AI pipeline our customers use.

This demo investor is on phase 1. Documents above phase 1 aren't hidden behind a lock — they're absent from listings and from the AI's context entirely. A direct request returns the same 404 as a document that doesn't exist.
Every investor's activity is tracked individually. A quiet investor and one who has opened every document available to them and asked a dozen questions are not the same signal — and now you can see the difference.
At any point, export the entire room as a single ZIP, folder structure preserved. Cancel when the process is done and a 30-day wind-down starts: investor access ends, but you keep read and export access the whole time, with three notices along the way. At the end of it, the room and every document in it are permanently deleted — there's no backup to restore from.
Exactly what we keep, and what we never keep, is on the security page.
First notice sent. Investor access ends.
You still have read and export access.
Last notice before deletion.
The room and every document in it.
Every capability behind the five stages, grouped by area.
What's not built yet is listed just as plainly on the security page.
Two adjacent categories exist today — consumer file sharing and enterprise virtual data rooms. Neither fits a mid-market process.
Permissions live in a sharing dialog, enforced by the app that opens the link, not by the server handing out the file. There's no phase concept — everyone with the link sees everything it was scoped to, and forwarding the link is the security model.
Phase gating and watermarking exist there too — at 12 to 30 times our price for the same storage on the one vendor that publishes a rate card, past $62,000 a year at its top tier — built for hundred-person deal teams and procurement cycles measured in months. Most fundraising and mid-market processes need the same server-side controls without either.
Choose the plan that fits your deal. Upgrade or downgrade anytime.
Every plan includes every capability listed above — plans differ by capacity.
For early-stage companies running their first data room.
For growth companies with active fundraising or M&A processes.
For large processes that need uncapped capacity.
All plans billed monthly. Cancel anytime. No long-term contracts. If you cancel, your data stays exportable for 30 days before deletion — see how we protect your documents. Uncapped plan resources are subject to fair use. How this compares to per-page and per-user data room pricing is on the full pricing page.
Straight answers about how it works.
Our AI reads and analyzes all your uploaded documents. When an investor asks a question, it searches through your materials and provides an instant, accurate answer with citations from your actual documents. The AI acts as a knowledgeable representative of your company — professional, accurate, and always citing its sources.
We support PDF, Word documents (.docx), Excel spreadsheets (.xlsx), PowerPoint presentations (.pptx), text files, and images. PDFs and Word documents work best for text extraction and AI analysis.
Yes. You can set your company's sector, stage, and up to 5 key messages you want the AI to emphasize. You can also add custom instructions for tone, terminology, or topics to handle carefully. The AI will follow your guidance while always being accurate and citing sources.
Yes, you can change your plan yourself at any time. In your data room, go to Settings → Plan & Billing and click "Manage Subscription" to open the Stripe billing portal, where you can upgrade, downgrade, update payment details, or cancel.
Most clients are live within 10 minutes. Upload your documents, configure your branding (logo, colors, welcome message), and invite your investors. No IT involvement or complex integrations required.
Read our fundraising guide →Each tenant's data is isolated — every query is scoped to your company, and access is role-based. Data is encrypted in transit and at rest, and every access decision — phase, download, view-only — is enforced server-side on every request. Our security page describes exactly what we do, and just as plainly, what we don't do yet.
Read the security page →Keep your data room active for future rounds or due diligence requests, or cancel anytime — there are no long-term contracts. On cancellation, a 30-day wind-down starts with export available throughout and three notices along the way, then the room and every document in it are permanently deleted.
Yes, but it's simple. You invite investors by email, they receive a link to set their password, and they're in. This ensures security and lets you track who's accessing your data room and what questions they're asking.
